What you'll do and what we offer

We are seeking an experienced and qualified Assistant Company Secretary with solid UK listed company experience. This role will have specific responsibility for subsidiary company compliance, administration of share option plans and supporting with the operational management of the Senior Leadership Team. They will also provide support to the Company Secretary in carrying out the other tasks of the department, with specific tasks being allocated based on experience and capabilities.

Because of the size of Aptitude, it means that this role is quite broad and varied, supporting the Company Secretary and Board but also working with members of the Senior Leadership Team to ensure that it operates within the target operating model through providing operational support to the running of the team and its reporting cadence.

The role suits someone who is self-motivated. This role doesn’t have any direct reports but is a Leader of Leaders and as such suits someone with the right gravitas to influence both internally and externally.

The role takes primary responsibility for:

Subsidiary Compliance:

  • Managing the statutory books and registers of the Group’s UK companies.
  • Submitting statutory filings and returns for the Group’s UK companies.
  • Managing the corporate compliance of the Group’s overseas subsidiaries in USA, Canada, Singapore, Poland and Hong Kong, with support from local third-party administrators.
  • Managing the Group structure chart and arranging for any subsidiary registration or dissolutions as required.
  • Working with the Head of Legal in relation to data protection registrations.

Share Option Plans:

  • Managing the Group’s share schemes, including the Performance Share Plan (discretionary LTIP), Deferred Bonus Plan, Save As You Earn and International Sharesave Plan.
  • Owning the relationship with the Group’s third-party share plan administrator and ensuring the online employee share plan portal is accurate and fit for purpose.
  • Planning and overseeing key events, including invitations, grants, vestings and exercises and ensuring the necessary minutes / documentation / announcements.
  • Educating employees on the Group’s schemes and responding to employee queries on these.
  • Preparing and filing the annual Employment Related Securities Returns with HMRC. Working closely with the finance team in relation to financial processes relating to the schemes.

Administrative support to the Senior Leadership Team:

  • Tracking the strategic goals and OKRs of the Senior Leadership Team within the Group’s productivity tool.
  • Organising all SLT meetings, agendas and actions arising.
  • Organising the QBRs and half yearly strategic off-sites, including the pulling together of pre-read materials, and maintaining an action tracker.
  • Reporting on progress of OKRs and actions, maintaining risks and blockers register.

The role supports the Company Secretary in the other tasks of the department:

  • Governance advisory
  • Board and Committee meetings
  • AGM and GMs
  • Annual Report and Accounts
  • Regulatory Compliance
  • Insurance

  • Corporate transactions
  • Stakeholder engagement
  • Suppliers and key relationships

What we're looking for

Ideally, you will have the following experience and skills:

  • Chartered Secretary Qualifications – fully qualified company secretary with experience in a listed company environment.
  • Self-motivation – motivated and thrive in working in a fast-paced environment.
  • External and Internal facing experience – builds relationships with internal and external stakeholders. Has the courage to challenge the status quo.
  • Share Plan management experience – experience of overseeing and running international share option plans within a listed company environment.
  • Excellent communication skills – written and verbal.
