What you'll do and what we offer

Your responsibilities will include:

  • Subsidiary Compliance: Manage UK and overseas subsidiaries’ statutory books, filings, and corporate compliance. Handle data protection registrations with the Head of Legal.
  • Share Option Plans: Manage share schemes and third-party share plan administrator. Oversee key events, educate employees on schemes, and handle related financial processes.
  • Administrative Support to the Senior Leadership Team: Track strategic goals and OKRs, organize SLT meetings, QBRs, and strategic off-sites. Maintain action tracker and report on progress.
  • Governance Advisory: Advise the PLC Board and Senior Leadership Team on governance and best practice. Keep abreast of regulatory developments and provide training to new Board members.
  • Board and Committee Meetings:
    Manage the corporate calendar, attend all Board and Committee meetings, produce agendas, and ensure completion of actions.
  • AGM and GMs: Plan and administer the Company’s AGM and support any adhoc General Meetings.
  • Annual Report and Accounts:
    Collaborate with the Finance Team on the Annual Report and Accounts. Draft various reports and oversee print timings and distribution.
  • Regulatory Compliance: Ensure compliance with FCA Listing Rules, Disclosure and Transparency Rules, and Market Abuse Regulations. Draft regulatory announcements as required.
  • Insurance: Manage the Group’s insurance policies and annual renewal process. Communicate updates to business activities to brokers.
  • Intellectual Property: Oversee the Group’s registered trademarks and patents. Liaise with IP lawyer and product and marketing functions for new registrations.
  • Corporate Transactions: Support corporate transactions such as acquisitions and disposals.
  • Stakeholder Engagement: Manage shareholder queries and requests. Engage with institutional investors and proxy advisory agencies. Respond to due diligence requests from customers and prospects.
  • Suppliers and Key Relationships:
    Own relationships with various entities including the Company’s registrars, share scheme administrators, insurance brokers, IP lawyers, and remuneration consultants. Work closely with other advisers and suppliers.

What we're looking for

Ideally, you will have the following experience and skills:

  • Chartered Secretary Qualifications – fully qualified company secretary with experience in a Listed PLC environment (10+ years)
  • Excellence Commercial Awareness
  • Self-motivated – Must be self- motivated and thrive in working in a fast paced environment.
  • External and Internal facing – Builds relationships with internal and external stakeholders. Has the courage to challenge the status quo.
  • Share Plan management – Experience of overseeing and running international share option plans within a listed company environment
  • Communication skills – Must have excellent written and verbal skills.
